POWER OF ATTORNEY
GULF OIL CORPORATION, a corporation duly organized and
existing under the laws of tt,e Commonwealth of Pennsylvania, does t
hereby make, constitute and appoint J. C. HARDEMAN of Houston,
Texas, its true and lawful Attorney-in-Fact and in such capacity
he is hereby authorized, empowered and directed to execute and
deliver for and on behalf of the Corporation and in its place and
stead all deeds, leases, assignments and other instruments for
the sale, transfer, exchange, conveyance and lease of the real or
personal property of the Corporation,. or any interest of the Cor-
poration in such property, located in the State of Florida, U.S.A.;
and to execute 'and deliver such other documents and instruments as
may be necessary and incidental thereto.
The authority herein granted shall continue until revoked
and shall have the same force and effect as though special authority
had been granted to the said Attorney-in-Fact to execute each such
deed, lease, assignment or other instrument separately.
Executed at Pittsburgh, Pennsylvania, this 12th day of
January, 1979. '
