motions of the Plaintiffs to dismiss Counts III, IV and V of ;

the Amended Counterclaim and for judgment on the pleadings as

to Counts III, IV and V of the Amended Counterclaim, the `
Court having considered the same and hearing the arguments
of counsel and being otherwise fully advised in the premises,
it is hereby
ORDERED AND ADJUDGED as follows:
(1) Count III appears to contain sufficient
allegations of part performance and the tliotions are denied

(2) As to Count IV, the Motion to Dismiss is granted;

~ (3) Count V states a sufficient cause of action and

~ the motions are denied;
~ (4) The Defenc~ant/Counter-claimants shall have
fifteen (15) days in which to file an amendment to their
