that is is given to secure the repayment of the Restated
Note and the Note as the same may hereafter be extended,
modified, amended or restated, and the performance by the
Borrower of all the terms, covenants and conditions on its
part to be performed pursuant to the Mortgage, as amended
by the Modification Agreement, the Amended Loan Agreement
and the Loan Agreement, as the same may hereafter be ex-
tended, modified, amended or restated.
2. All references in the~Assignment to the
"Loan and Security Agreement" or the "related loan documents"
shall be deemed to refer to the Amended Loan Agreement and
the Loan Agreement, as the same may hereafter be extended,
modified, amended or restated. Similarly, all references
in the Assignment to the "mortgage", or "mortgages" and the
"notes secured thereby" shall be deemed to refer to the
Mortgage, as modified by the Modification Agreement, and t'~e
Restated Note and the Note, as the sage may hereafter be
extended, modified, amended or restated.
j 3. Except as amended hereby, all the terms,

covenants and conditions of the Assignment shall remain in
E full force and effect.
4. This agreement shall bind and inure to the
benefit to each of the parties hereto and their respective
successors and assigns and may not be changed or terminated
~ orally.
5. This a reement is made and delivered in the
