' ASSIGNMENT AND ASSU!?1PTION AGR1iEMENT ~
THIS AGREEMENT dated this day of June, 1979 by
and between MARUI?lIKE CORP., a Florida corporation, (hereinafter
referred to as "Assignor") and MAYFLOWER CORPORATION, a
Florida corporation (hereinafter referred to as "Assignee").
W I T N E S S E T N: .
WHEREAS, Assignor is Lessee of certain real property
situate in Martin County, Florida, more particularly described
on Exhibit "A" attaclied hereto and made a part hereof and
certain real property situate in St. Lucie County, more
particularly described on Exhibit "B" attached hereto and
made a part hereof (the "Property"), containing certain .
citrus groves and citrus production facilities operated by
Assignor, and
WNEREAS, Assignor has entered into certain fruit participation
- agreements with TROPICANA PRODUCTS, INC., described as
follows:
No. G1919 dated August 17, 1977
No. G1909 dated August 16, 1977
No. 1~6259 dated November 3, 1977
No. K6229 dated November 3, 1977
(hereinafter referred to as the "Tropicana Contracts", and

; WHEREAS, Tropicana Contracts require Assignor to deliver

' certain quantities of citrus fruit to Tropicana Products,

~ Inc. in accordance with the terms thereof from the citrus
~
~
~ groves located on the Property.

~ ?VHEREAS, contemporaneously herewith Assignee has acquired
~
~ title to the Property subjec~ to the Tropicana Contracts.
~
~ NOW, TNEREFORE, in consideration of TEN~DOLLARS (~$10.00)
~ the receipt of which is hereby acknowledged and other good
~

and valuable considerations, the parties agree as fallows:
= 1. The premises of this Agreement are hereby incorporated
