3. Assignee agrees to assume the obligations undertaken
by Assignor in connection with the Tropicana .Contracts
including the obligation to deliver certain quantities of
citrus set forth therein and agrees to abide by the remaining
terms and conditions of the Tropicana Contracts until they ~
expire or are terminated by mutual agreement with Tropicana
Products, Inc. The parties acknowledge that Tropicana

Products, Inc. has represented to Assignor that it would
cancel the Tropicana Contracts at the end of the 1978-1979
citrus season. '
