and Conveyance is granted with the understanding that upon completion of the
sale and conveyance of the real estate as herein contemplated, The First

t~ational Bank of Cincinnati, as Executor, will make distribution of the net
proceeds of said sale, in accordance with the terms and conditions of the Last
Will and~Testament of Alphonse G. Riesenberg, deceased, as same is found of
record in Estate Number 750955, Probate Court of Hamilton County, Ohio. ~
The Undersigned further agrees to hold The First National Bank of
Cincinnati, as Executor of the Estate of Alphonse G. Riesenberg, deceased,
! harmless from any claims or demands by reason of said sale and conveyance.

; Further, this Consent, Authorization and Conveyance is subject to the
