Tax Court and complaints in the Federal and State courts
and cause me to be represented in such proceedinqs; to sign
any and ali papers, deeds or other instruments necessary
to carry out any of the aforesaid mentioned powers, hereby
giving and grantinq unto my said attorney full power and
authority to do and perform all and every act and thing
what~oever requisite and necessary to be done in and about
the premises as fully to all intents and purposes as I might
or could do if personally present, with full power to substitute
in his place and stead; provided that, my attorney shall
not be liable in any manner for any loss resultinq from
_ any action or failure to act, unless such loas shall result
directly from my attorney's gross negligence or willful
misconduct, and I hereby hold him harmless from good faith
acts or omissions. ~
No inventory or account shall be filed with any court or .
the clerk thereof, but an accounting shall be filed with the
undersigned each year and with the undersigned's executor in
the year of death of the undersigned.
And I do hereby ratify and confirm all things so done
by said attorney within the scope of the authority herein
given him as fully and to the same extent as if by me per- ~
sonally done.
All powers of attorney for any purpose heretofore filed
or executed by me are hereby revoked.
This Power of Attorney is executed pursuant to the pro-
visiona of North Carolina General Statute.s47-115.1, and it
is my specific intention that this Power of Attorney shall
continue in effect notwithstanding my incapacity or incom- '

petence which may occnr after the execution hereof. K
