agreeruent to the Compan~~ upon substantially similar terma sa
containeci in the Lease. .
8. -The Assignor and the Lessee each agrees that it will not enter
into any agreement subordinating, amending, modifying or terminat-
~ ing the Lease or the (~}narantee ~greement, egcept as provided in
Article %IV of the Indentnre, and that any attempted anbordination,
amendment, modification or ternain~tion of the Lease, or the (~uarantee
~greement, contrary to such Article %IV, shall be void. In the event
that the Lease or tLe (~narantee Agreement sliall be amended as herein
permitted, the Lease or tLe (inarantee Agreement, as so amended, shall
continue to be snbject to the provisions of this Agreeraent withont the
. necessity of any fnrther act by any of the parties hereto, The Lessee
hereby covenanta and agreea that it will remain obligated nnder the
Lease in accordance with its terms, and that it will not (egcept as eg-
preasls permiited by the I.~nue}, tsne any action to terminate, res~ind
' or avoid the Lease, notwithstanding the bankruptcy, insolvency, reor-
~ ganization, composition, readjnstment, liquidation, disaolntion, winding
- ~p or other prceeeding affecting the .Asaignor or any assignee of the
~ Assignor, and notwithstanding any action with respect to the I~ease
E «hich may be taken by any assignee or receiver of the Assignor or of
~ any such assignee or by any court in any snch proceeding.

~ 9. The ~ssignor and the Lessee agree ~ith each other and with
~ the Trustees that if, pursuant to the Lease, the Lessee shall elect or
~ become obligAted to purchase or the Assignor shall become obligated
~ to convey any one or more of the Leased Parcels, or any Portion thereof,
~ pursuant to any provision of the Lease, the Lessee will accept (and
` tLe Assignor will be bound by) snch deed and other instruments con-
~ e3 ing and transferring such Leased Parcels, or such portion thereof,
, as muy be esecuted and delivered by the Trustees or either of them
as bcing in compliance ~vith the provisions of the Lease, provided, that
= said deed and other instrnments shall otherwise be in compliance with
~ the provisiona of the Lease. The Lessee agrees tLat, if it ghonld be-
" come necessary for the Trustees or either of them or any other party
to institnte any foreclosnre or other jndicial proceeding in order that
