York corporation, as Escrovr ~gent (herein called tLe "Escro~ '
Agent"); and said Bax~xs TavsT COMPANY and R. I. Lexnev, as
Trustees under the Indenture referred to herein and now having their
~ o~'ices at One Battery Park Plazn, New York, New York 10015 (herein
collectively called the "Trustee"),

i Wa$e~es, the Company is the owner of, or has arranged to acquire
f title to, c~rtain par~els of l~ind-dsscribed in Apgsnds 9, anch parcels,
; inclnding all of the bnildings and improvements thereon, and the ease- ;
~ ments and other appnrtenancea relating thereto, being herein indicidn- ~
; ally called a"I,eased Parcel" and collectively the '~Leased Premises", '
~ eacept that for the purposea of P$rts II and III hereof (i) the terms
"Leased Parcel" and `~Leased Premises" shall inclnde a Leased
Parcel only as and when conveyed to Propertiea herennder, and (ii) _
~ snch terma aball inclnde, effective npon snbstitution, all snbstituted
properties couveyed to Properties as contemplated under ParagrapL 14
and (iii) such terms shall not include (in respect of periods subseqnent ,
to conveyance, condemnation, sale or removal, as the case may be) any
propertiea conveyed to the Company or ita designee pnrsuant to Para- ;
~ graphs 12, 14 and 19, or properties condemned in whole by competent :
~ authority for public use or purpose or sold to snch anthority in lien of
condemnation pursnant to Section 806 of the Indentnre or Paragraph
~ 16(c) hereof, or improvements removed from the Leased Premises pur- ~
~ ~ suant to Paragraph 12 or 13; and - ~
