W~ases, effective upon the sale, conveyance and transfer to Prop- ,
ertiea of the Leased Premi~sea, Properties desires to lease to tLe Com- '
pany, and the Company desirea~ to lease from Propertiss, the said
Leased Premisea; and :
Wassge~, contemporaneously with the egecntion of this Lease and
:~greement, Continental Oil Company, a Delaware corporation (herein,
together with its snecessors and assigns by merger, consolidation, sale
of assets or other~~ ise, called "Continental"), being the owner of all ~
of the issuecl and outstanding capital stock of the Company, has agreed F
~ witL Properties and the Trnstee in an agreement dated as of November
30, 1970 to guarantee the performance by the Company of all of its ~
- obligations hereunder (said agreement, whicb is attached hereto as ,
; ~ppendix B, beiug herein ~alled the "(~narantee Agreement"); and
! W~$$es, in order to provide fnncis for the acqnisition by Proper-
~ ties of the Leased Premises, Properties and certain inatitutional ~
~ investors (the "PnmLasere"), eontemporaneonaly with or prior to the
p ezecution and delivery of this Lease, have entered into Note Pnrchase
~ Agreements dated as of November 23,1970 (herein called the ~~Note Pnr-
~ chase Agreemente") pnrsnant to wluch Propertiea has agreed to isane ,
~ and sell $25,000,000 aggregate principal amonnt of its 9% Notea Dne
~ 2t~lCi _(herein called tue =`ISiO i3otas"j and Sub~titute ~'otes, if ans ;
(hereinafter, together with the 1970 Notes, colleetively called the `
~ Notea in aocordance with the Indentnre dated as of November 30,
~ 1970 from Propertiea to the Traatee and the Eacrow Agent (herein
called the '`Indentnre") and, as secnrity for the payment thereof, pnr-
snant to the Indentnre and the ~seignment, dated as of November 30, ~
~ 1970 from Propertiea and the Company to the Trnstee (herein called
~ the "Assignment") Properties is assigning its right, title and interest E
~ in, to and nnder this Lease and the GFnarantee Agreement. ~

~ and valuable consideration and of the mntnal benefits, covenants and ~
~ agreemente herein eapressed, the Company, Properties, ~Le Trustee
