tl~e Trustce, and the Compt~ny may, but sh~ll be under no obligation to, ,
rep~ir and restore such Leased P~rcel. , -
(b) Op~tion Not to l~estore. IF such taking or condemnation shall
be of the ~rhole of such Leased Parcel, or if by giving notice to the - ~
Trnstee, given within 120 days after snch taking, the Company shall
elect not to restore such Leased Parcel, the Company aball prompUy
proceed to take such steps as may then be reqnired to comply with the
applicable provisions of ParagrapL 14(a). If, withont having given
such notice, the Company sball not, within 180 days after such taking
or condemnation, have proceeded diligently to repair and restore such
Leased Parcel, it shall be deemed to have so elected not to repair or -
restore. If and to the egtent thAt the Company may request, Properties
and the Trnstee will each cooperate witb the Company in all matters re-
lating to any taking or condemnation of any Leased Parcel or any part
thereof. All costs and ezpenses of Properties and the Trnatee in-
R enrred in connection with any such condemnation shall be borne by the

~ (e) Sale ~n Lieu of Condemnation, If the Company ia not in de-
~ fanlt in the payment of basic rent or in any other material reapect nnder
~ any provision of this Lease, Properties shall from time to time at the
reqnest and egpense of the Company take all such action on Propertiea'
~ part as may be reqaired to sell its interest in a portion of the Leaaed
~ Premises to any person vrluch is legally empowered to take or condemn
snch interest by virtne of eminent domain and which the Company antici-
pates (whether or not sach person Las actnally ta~en aetion or com-
~ menced proceedinge constituting, or as a preliminary to, Bnch a taking
~ or condemnation) will take or condemn snch interest. Any anch eale
~ in lieu of condemnation shall be deemed to conatitnte a taking or con-
~ -
clemnation for all purposes of tlua Lease.
