Such con~•eyance shall be made without any representu- tion, covenant or warranty by Properties eacept that snch Instrnment will contain a covenant by Properties that such Leased Parcels, or the portion or portions thereof to be conveyed, are free and clear of any conveyance, agreement, mortgage, lien, charge, enenmbrance or violation created or suffered by Properties egcept (i) Permitted Liens no~ created by Properties, (ii) any charges, liens, encnmbrances, ~ defects, restrictions, reservations and agreements (herein collectively called "charges") either caused, created, requested, permitted or con- sented to in writing by the Company or for the payment, satisfaction or elimination of w]uch the Company may then be responaible nnder the ; terms of this Lease, (iii) tiny charge not caused, created or con- ; sented to i~i ~vriting b3• Properties, (iv) an} charge created b~• ! Propertiea or the Traetee npon the ezerciae of any right l~ereunder npon any Event of Defanlt and (v) any condemnation proceeding or taking by governmental anthority; provided, however, that if anp such ~ Instrnment is made bp the Trnatee for and on behalf of Properties, ~ snch Instrament may provide that the foregoing covenant is not bind- ing npon the Traatee and provided, fnrther, that the trnth or validity of such covenant ahall not be a condition to the Company's obligatioi~ to deliver or pay over the conaideration, if any, for snch conveyance to the Trnstee in accordance with the provisions of tlus Lease.
