entitled to the advice of counsel and shall incnr no liability for any aets
taken in good faith in reliance npon snch advice. The Escrow Agent '
and the Trnstee shall not be Iiable for any action reasonably taken or `
omitted to be taken by them in good faith and reasonably believed by
them to be within the discretion or power conferred npon them by this
instrnment, or be responsible for other than their own negligence or
willfnl acts or omisaions. The Company shall pay to the Escrow Agent
and the Trnstee reasonable compensation for all their respective serv-
ices, together with their actnal ont-of-pocket eapenses necessarily in-
cnrred, in connection with acting as Escrow Agent and Trastee nnder .

(c) Acceptance. Egecution of the acceptsnce by Bankera Trnst
t'ompany, as Trustee and Escrow Agent, and by R. I. Landan, as
' Trustee, at the end of this Lease shall be snffieient for said Bankers

27. T~ Psa~y B$xsr~ciss~s.
(a) Rights of Noteholders. This instrument is egecuted in part to
indnce the pnrchase by others of the Notea, and for tLe fnrther secnr- .
ing of the Notes, and ai~r~i~ all the reapecti~e covenants and agree-
menta of the parties herein contained are hereby declared to be for the
benefit of the holders from time to time of the Notes and may be
enforced by or on behalf of the holdera of the Note$ only by the Trustee
in accorc~nce with the provisiona of the Indentnre. Nothing in this in-
~ atrnment shall be deemed to create any right in any person not a party
` hereto (other than the permitted~ snccessors and assigns of a party and
~
~ tLe holdera of the Notes) and this instrament shall not be constrned in .
~ any respect to be a eontract in whole or in part for 'the beneSt of any
~ third party eucept the holders from time to time of the Notes.
~ (b) Rights of Company. By virtne of its obligation nnder this -
~ Lease, the Company has an in~erest in the enforcement of Propertiea'
