1. Continental.absolutely und unconditionally covenauts and agrees, ~

covenant and obliaation of the Company under and iii accordance with ~
tlie teims of the Lease and the ~ssignment (collectively, the "Agree- ~
uients"), including w~ithout limiiatiou tLe pa~~ent of bASic rent, adcii- ~
tional rent aud all otl~er sums payable thereunder and, to the eztent that
rthe Compauy is ut any~ tinie oLligated tverefor pursuaut to Puragraph
18(b) of tl~e Lease, the payment of iuterest, principal and preminm, tf
any, on the ~otes and payment of other snms dne under the Indentnre,
I and (ii) in the event that the Compauy does not or is unable so to pay
~ or perform in accordance with the terms of the Agreements for any
! i•eason, including, ~cithout limitatiou, the liquidation, dissolntion,
~ recei~ crship, insalrency, bankrnptcy, assignment for the benefit of
~ creditors, reorganization, arrangement, composition or readjustment
t of, or other similar proceedings affecting the status, ezistence, assets
$ or obligations of the Company or Properties, or the disaffirmance or
~ termination of either or both of the Agreements in or as a result of
any snch proceeding, Continental shall pay to the Trastee, without
offset or dednction of anp kind, the basic rent, additional rent and all
such other sums, or amounts equal thereto, or, in the eveut of the termi-
nation uf the Lease pursuant to Paragraph 18(a) thereof, the principal,
interest and premi~un, if any, on the I~otes assumed or intended to be
assumed by the Company pursuant to Paragraph 18(b) thereof
(whether or not such assumption is enforceable) and all other suma
~ ~~~hich the Company so assumes and agrees to pay npon such assnmp- _
~ tion, or otherwise provide for and bring about anch payment and
~ the performance of such dnties, agreements, covenants and obliga-
~ tions of the Company. . Continental further agrees tLat the obliga-
~ tions undertaken by it herennder shall nut be terminated, unpaired or
~ otl?er«-ise affected by the recovery of any jndgment against the Com-
~ pany or ~ny action to enforce the same, or by the release or discharge ,
~ of the Company or Properties in any proceeding of the nature referred
~ to in this Parugraph 1, or the disaffirmance of the Lease in any snch . ;
