Trustee, within the time period speciSed in said Paragraph 3(e), its i

promisaory note or notes, payable to the•Trustee as trnstee nnder the
Indentnre and complying with tLe provisiona of Paragraph 3(e) of
the Lease.
This Quarantee Agreemeiit shall continue to be effeetive or be rein-
stated, as the case may be, if at any time any payment, or any part
theieof, which has been made pnrsuant to the I.ease, tLe ~ssignment, ~
the Indentnre or tlus (~uarantee Agreement is rescinded or must other-
wise be restored or retnrned by Properties, the Trustee or the holder of
any Note npon the insolvency, bankruptcy or reorganization of the -
Company or Properties, or otherwise, all as though such payment had ~
not been made. ~

5. The obligation of Continental nnder this GFnarantee Agreement
shall not be released or discharged or otherwise impaired or affected
I ~ by reason of the happening from time to time of any of the following

~ ~vith respect to the Lease, the Assignment, this (}narantee Agreement,
the Indentnre, the Notes, the Pledge Agreement (as defined in the In-
dentnre) or ftny other agreement which ahall have been egecuted and
I delivered as part of this transaetion, although without notice to or the
~ fnrtber consent of Continental : .

(a) the waiver by Properties, the Trastee or the holdera of
the Notes, or the snecessora or assigns of any of them, of the
performance or observance of any of the agreements, covenants,
~ terms or conditions contained in any of snch instruments, or any
defanlt therennder;
(b) the extension of the time for payment by the Company 2
of any rents or other sums or any part thereof owing or payable . ~
under uny of sncL instruments, or of the tirine for performance
s by the Company of any other obligations nnder or arising ont of
~ or on account of any anch instrnmenta, or the eztension or renewal ~
~ of any of auch instruments; ~ i.
~ (c) any failnre, omission or delay of Properties or the Trnstee '
s tu enforce, assert, or eaercise any right, power or remedy conferred
~ on Properties or the Trastee in any of snch instrnments, or auy '
~ action on the part of Propertiea or tbe Trnstee granting indulgence ;
or egtension in any form;
