The principt~l hereof is subject to prepayment, in whole or in part,
at the option of Continental and upon 45 days' notice to the Trnstee,
on any date on which interest hereon is reqnired to be paid, at such
prices, including sucli premiwns, and otherwise npon such terms as -
1970' \~otes may be prepaid in accordance with Article VII of the ~
Indenture pursuant to Section 704 thereof on the December 1 or June
1 nest following sueh date. -
The entire outstanding principal amount hereof and the interest
Iiccrued hereon shall become immediately due and payable ~vhenever
(1) the Trustee sl~~ll have declared the principal and acerued interest ~
on the outstanding Notes due and payable pnrsnant to Section 1102 of
the Indenture unless the Trustee shall have rescinded such declaration
' pursuant to Section 1111 of the Indenture or (2) default Shall be made ~
I in any papment of interest or mandatory prepayment of principal ~
I hereon, such defuult shall have continued for a period of 5 bnsiness
i da~ s, and the Trustee shall thereafter have declared the principal and ~
`s accrued interest on all Promissory Notes dne and paysble; provided, ~ fi

~ ho«e~~er, that the Trustee may rescind any such declarution made pnr- ~
E suant to this clause (2) if there shall have been paid to the Trnstee F
prior to such rescission an amount snfficient to pay all matnred install- i
ments of interest aud principal on the Promissory Notes v~hich shall • ;
have become due otherwise than by such declaration together with ;
interest at the rate provided herein on overdne principal and (to the ~
~ egtent permitted by lan ) on overdue interest and, subject to the pro- {
visions of Section 1201(c) of the Indenture, all amounts due the Trustee 3
pursuant to the Indentnre. . ~
