. MEMORANDUM OF LEASE T
WHEREAS ST. LUCI~ FUEL COMPANY ("Lessor") has
title to and ownership of the following chattels (the "Nuclear
Fuel"): .
Separate assemblies of nuclear fuel
and materials and components thereof
now or he~eafter leased by Lessor to. ,
Florida Power & Liqht Company ("Lessee")
pursuant to that certain Fuel Lease
dated as of June 26, 1979, all as de-
scribed ~aore particularly in said Fuel
Lease and the Schedules (as the same
may be amended from time to tune) incor-
~orated therein. ~
. NOW. THEREFORE, by this sealed instrument, Lessor
hereby declares that:
1. Lessor is leasinq the Nuclear Fuel to Lessee.
pursuant to the Fuel Lease, the term of which is 50 years
(unless sooner terminated in accordance with Section 3ib) of
the Fuel Lease), and Lessee's possession of the Nuclear Fuel
is pursuant and subject to the terms and conditions of the
F~iel Lease.
2. A copy of the Fuel Lease is on file at the
offices of Manufacturers Hanover Trust Company, New York,
:1ew York~ as Depositary under the Depositary Aqreement, dated
as of June 26, 1979 between Lessor and such Depositary.
3. The Fuel Lease is intended by the parties to
' constitute a true lease, and is not intended to transfer title
; to or ownership of the Nuclear Fuel to the Lessee.
