lv Debtor hereby qrants to Secured Party a eecurity interest in
the collateral describad herein to aecure perfor~aance in payment of all
obliqations and indebtednesa of Debtor to SecurecT Party of whatever kind
and Whenever or ho~rever created or incurred. Debtor authorizes Secured
Party to file a tinancinq etatement to gerfect this aecurity intereat.
2. TRe collateral of thia Security Aqreement shall be all of the
Debtor's rfqht, title and interest in and to the asaeta particularly
deacribed herein in attached Exhibit A. .
3. The obliqation aecured hereby shall consist of the followinq:
A. The~aum o! $562,500.00 evidenced by a prc~aissory note
executed by the Debtor of even date here~rith, together with all sums,
charqea and coats incurred by the Secured Party ~ith respect thereto.
B. Any and all other liabilitiea of.the Debtor to Secured
Party, direct or indirect, absolute or contingent, due or to becane
due, existinq or hereafter arising.
