NOM, TNBRBFOItE, in consideration of the foregoing and
other good and valuable considerations, receipt of Mhich is hereby
acknoMledged the parties agree as €allors:
l. The purchase ~oney security interest as to the
propertr set forth in Exhibit "A" attached hereto is hereby eodified
to be a Purchase Money Second Security Interest, subject and inferior
only to the first lien of Sun Bank of St. Lucie Countr in the ~ ~
original principal a~ount of ~74,000.00, secured br collateral
valuad at =109,000.00, Mhich obligation Media asswes, agrees to
pay and hereby indewnifies Gulfstrea~ with respect thereto.
2. In the event Media beco~es tMO (2) aonths delinquent
or for a period of txo (2) ~onths fails to perform all conditions
' and covenants after they become due, Mith respect to the said €

j ~obligation of Sun Bank of St. Lucie County, and such delfnquency _
~ or other default is not cured by Media vithin ten (10) days after

~ receipt by Irtedia of Mritten notice fro~ Gulfstrea~ via certified
~ ~ail, r.eturn receipt requested, Media shall be in default of the -
~ terms and conditions of this Security Agree~ent and the obligations

~ oMing to Gulfstreas and Gulfstreae s~ay oake such pay~ents or perfor~
` such conditions so as to maintain the obligation at Sun Bank in

~ good standing, and Gulfstreas shall be entitled to collection ~

~ of the entire unpaid:balance of the obligations secured hereby, '

~ including any su~as expended to •aint~in the obligation at Sun

` Bank in good standing, and ~ay take all actions afforded to it
