The Foundation shall be organized and aciministered so that 1

bequests to it shall be deductible as charitable bequests under !
Sections 170(c) and 2055 of the Internal Revenue Code and the
applicable state.estate and inheritance tax laws in effect at the ~
time of my death. ~

I hereby direct my executors to appoint as the original
directors of the Foundation such of the persons hereinafter named
as shall serve as my trustees and/or such other directors as the
persons so named shall designate.

I give to.my wife, if she survives me, all right, title and l

interest to any real property and co-op apartments whic,h I may

~ profits thereof, and to pay or apply to or to the use of my
~ secretary ("the annuitant"), each year, during her lifetime, the

~ sum of Five Thousand Dollars (SS,000) ("the annual amount");

~ provided, however, that in determining the annual amount, my
r trustees shall prorate the same, on a daily basis, for a short

tax year and for the taxable year of the annuitant's death.
