CERTIFICATE OF SECRETARY
AS TO RESOLUTIONS ADOPTED ~
I, YVONNE DOUGLAS, Secretary of the above-named corporation
do hereby certify that I am keeper of the records and minutes of
the proceedings of the Baard of Directors of said corporation, that
on the 8th day of May, 19T9, a unanimous consent in writing of the_
said Board of Directors was executed in accordance with the law
and the by-laws ~f the corporation, and that the following ~
resolutions were duly and legally passed, and that true copies
of the Exhibits therein~referred to are annexed to this certificate
and here referred to and made a-part hereof:
"WHEREAS, an offer has been received from Eugene W.
Test, for the purchase of that certain property in
St. Lucie County, Florida, described as follows:
Lots 1 through 12 inclusive, Block C,
~ DORIAN SUBDIVISION, according to the Plat
~ thereof as recorded in Plat Book 9, Page
~
€ 22 of the Public Records of St. Lucie
County, Florida.

~ "WHEREAS, it appears that the sale of said property
R at the price of $10,000 is in the best interest of
the corporation and that out of the $10,000 offered .
as the purchase price, World Missionary Evangelism,
Inc. may expect to receive a net sum of approxi-
mate?y $8,720.43; and
"WHEREAS, tt~e title company has prepared and submitted
the form of deed shown by a copy thereof marked
Exhibit 'A' and annexed hereto;
"NOW, THEREFORE, BE IT RESOLVED that the said offer
~ of the said Eugene W. Test be and it hereby is

~ accepted and John E. Douglas, Sr., President, is
~ hereby authorized and directed to.execute the warranty
~ deec~, attached hereto as Exhibit "A", and the Closing
~ , Statement, a copy of which is attached hereto as
E Exhibit "B", on behalf of World Hissionary Evangelism,
~ Inc., and to convey the property to Eugene hl. Test,
' to consummate the sale and to deliver the said deed
to said property to the said Eugene W. Test upon
