THIS AGRBElS~NT, made this /3 day of C~~~~1979, by and
between JOAN F. HUMP~iRgY, JR., whose mailing address is Post
Office Box 5545, Rnoxville, Tennessee 37918, hereinafter referred
to as "Humphrey" 8Ad GENERAL DEVSLOPMENT CORPORATION, a Delaware
corporation with a place of businese at 1111 South Bayshore Drive,
Miami, Florida 33131, hereinafter referred to as "GDC".

WHEREAS~ Humphrey owns a certain parcel of real property ~
containinq 9.9~ acrea more or less in Section 35, Township 36 ~
South, Range 40 East in St. Lucie County, Florida, as more partic-
ularly described in Schedule "A" attached hereto and by reference
made a part hereof (hereinafter referred to.aa the "Humphrey pr~p- i
erty"): and _
h'ftERSAS, by virtue of that certain easement agreement between
GDC and the predecessor in tit3e to the Humphrey property dated

December 16, 1966 and recorde~ in Official Record Book 161 at
Page 4C19, GDC did grant and convey ti~te Humphrey's predecessor in
title a 195 foot easement for ingress and egress between the -
Humphrey property and U.S. Highway No. l, said easement being more
