- 48-1801 of the Tennessee Code.Annotated, and Summit Properties
("Summit"), an Ohio real estate investment trust organized
under the laws of the State of Ohio pursuant to a Declaration
of Trust filed in accordance with the .provisions of Section
1747.03 of the Ohio Revised Code,
DO HEREBY CERTIFY:
FIRST: That IRT Property Company. was incorporated on

the eleventh day of June, 1979, pursuant to the Georgia
Business Corporation Code, the provisions of which (includ- F

ing, without limitation, Section 22-1009 thereof) permit
the merger of one or more unincorporated trusts ("joint-stock

associations") organized in other states and a corporation
organized and existing under the laws of Georgia.
