AGREEMENT
THIS AGREEMENT made the ~ ~ day of June, 1979, between NANCY
L. MACFHERSON, residing at 840 Palmer Road, Chucchville, New York, BETH
ANN YOPP, residing at Main Street, Caledonia, New York, BRIAN H. MAC-
PHERSON, residing at 1382 Larose Court; Port St. Lucie, Florida and WILLIAM T.
MACPHERSON, residing at 1382 Larose Court, Port St. Lucie, Florida.
WHEREAS, NANCY L. MACPHERSON ~ is the sole distributee of
BARBARA KAY I1lACPHERSON, a daughter of THEODORE E. ZIEMINSKI, who
survived her father but died March 15, 1979; and
WHEREAS, the parties hereto are the only distributees of the estate of
THEODORE E. ZIEMINSKI; and
WHEREAS, said estate consists primarily of a business entitity known
as T. and J. Mobile Home Service, which was owned and operated by THEODORE
E. ZIEMINSKI at his death; and
WHEREAS, the parties are desirous of transferring ownership of said
business to BETH ANN YOPP, BRIAN H. MACPHERSON and WILLIAM T.
MACPHERSON; and
WHEREAS, the estate of THEODORE E. ZIEMINSKI has sufficient
funds to compensate NANCY L. MACPHERSON for her ONE QUARTER (1/4)
interest in the said buslness; and
WHEREAS, the parties wish to effect the transfer. of the business by
adjusting their respective distributions from the estate;
NOW, THEREFORE, it is agreed as follows:
1. NANCY L. MACPHERSON hereby relinquishes and assigns to
BETH ANN YOPP, BRIAN H. MACPHERSON and WILLIAM T. MACPHERSON,
jointly, any claim she might have to the assets and income from the operation of T.
and J. Mob:1e Home Service.
2. BETH ANN YOPP, BRIAN H. MACPHERSON and WILLIAM T.
MACPHERSON hereby agree to pay NANCY L. MACPHERSON the sum of EIGHT
THOUSAND SEVEN HUNDRED FIFTY DOLLARS (8,750.00), representing
