WHEREAS, an action has been commenced as above-
entitled for declaratory judgment and other relief; and
vJHEREAS, the parties have agreed upon terms of
settlement of such action and their respective rights in the
- -property -which- is-the---subject--af-this-action;--and_
WHEREAS, the parties have agreed upon the terms and
conditions of dismissal of said action and the counterclaim with
prejudice,
NOW, THEREFORE, it is agreed by and between the
parties as follows:
1. It is agreed that Plaintiff, PORT ST. LUCIE
SHOPPING CENTER, INC., shall purchase the entire interest of
Defendant, RALPH CHAMBERS, in the premises which are the subject
of this action together with all of his interest in PORT ST. LUCIE
SHOPPING CENTER, INC., in accordance with the Deposit Receipt and
Contract for Sale and Purchase marked Exhibit A attached hereto
and made a part hereof.
2. That further Plaintiff agrees to lease Store N
of said premises to the said RALPH CHAMBERS for a period of one
~ (1) year from March 1, 1978 (the date of closing) rent free..
3. Defendant, RALPH CHAMBERS, agrees to pay to
