promise to pay to the order of JOSEPH ti. ACKEIti~IAN, JO11N E. WERTIN,
TIIOFVIS F. KING, JR. , RICHARD ~ L. CRAMF.P., WILLIAI?1 G. BLOODGOOD and
VICTOR M. ROSENZS~EIG, not individually but only as Trustees of
COMPASS INVESTriENT GROUP, formerly Darnett Winston Investment Trust,
~arr~unincorporated business trust organized under. the laws of the State
of Florida pursuant to a Declaration of Trust dated April 21, 1972,
as amended or amended and restated from time to time (the "Declaration"),
a copy of which, together with all amendments thereto or amendments
and restatements thereof, is on file with the Secretary of State of
the State of Florida, the principal sum of Nine hundred Seventy-five
Thousand and No/100 Dollars ($975,000.00) with interest thereon at the
rate of ten (10$) per centum Qer annum from date until maturity, -
both principal and interest being payable in lawful money of the United
States of America at 720 Gilmore Street, Jacksonville, Florida 32204,
or at such other address as the holder from time to time may specify
by written notice to the maker, said principal and .interest to be
paid on the date and in the manner following:
1. On October 1, 1979, principal in the amount of 5275,000.00
plus accrued interest from the date hereof through 's aid
date shall be payable.
2. On January 10, 1980, principal in the amount of $500,000.00
plus accrued interest from October 2, 1979, through said
date shall be payable.
3. On August 1, 1980, all accrued interest from January 11, 1980,
through May 1, 19£io shall be due and payable together with the
first of eight (8) equal quarterly installments of principal
and interest of Twenty-seven Thousand and Eight Hundred
Ninety Four and No/100 Dollars ($27,894.00) which shall
thereafter be due and payable on each succeeding November 1,
February 1, I4ay 1-and August 1, until the principal balance,
together with all interest due thereon has been paid in
full, the balance of such principal and interest being due
on tiay 1, 19 8 2 .
~ This note is to be construed and enforced according to the laws
of the State of Florida and is secured by rmortc~age on real estate of
even date herewith.
If default be made in the payment of any of said sums or interest
or in the performance of any agreements contained herein or in the said
mortgage then, at the option of the holder of the same, the principal
sum then remaining unpaid crith accrued interest shall immediately
become due and collectible without notice, time being of the essence
of this contract, and said principal sum and said accrued interest
shall both bear interest at the highest rate. of interest allowable
by law, from such time until paid. .
Each maker and endorser waives presentment, protest, notice of #
protest and notice of dishonor anti agrees to pay all costs, including
a reasonzUle attorney's fee, whether suit be brouyhl: or not, i[ counsel
shill atlcr maturity of this noL-e or default hereunder or under said
mortgage, be employed to collect this note or to protect the security
thereof. ~
