B. Di.recbors of the Associatioen shall be elected at the annuarl meeting
of theitamb~ss in the Wanner determined by the By-Laws. Directors may be removed
and vacancies an the eoard.of Directors shall be filled in the marnler provided
by the By-Laws.
C. The first election of directors shall not be held until after the
' developer has closed sales of 75$ of all apartments in the oonclaninium or t7irielve
(12) months from the date of connletion of all condominium improv~enents (certi-
ficate of occupancy). Zrie directors in these Articles shall serve until the
first electian of directors.
D. The names and addresses of the members of the first Board of Directors
who shall hold office until their are elected and have qualified, or
until removed, are as follows:

OFFICERS
The affairs of the Associatian shall be aclnuiistered by the officers desig-
nated in the Bye-laws. Tlue officers shall be elected by the Board of Directars at
its first meeting following the annual meeting of the meribers of the Association
and shall serve at the pleasure of the Board of Directors. The names ar:cl addresses
of the officers who shall serve until their successors are designated by the Board
of Directors are as follows:

Every director and every. officer of the Association :.hall be indemnified
by the Association against all exper:.ses and liabilities, including axnsel fees,
reasonably incurred by or inpo~ed upon him in connection with any proceeding or
any settlernnt of any prroceeding to which he may be a party ar in which he may
become inwlved by reason of hi.s being or having been a director or officer of the
-Association, whether or not he is a dir~ect-or or officer at the time such expenses
are incurred, except when the director ar officer is adjudged guilty of willful
misfeasance or malfeasance in the perfarnranoe of his duties; provided, that in the
~ event of a settlemrent the indemRificati,on shall apply only when the Board of Di-
~ rectors appmoNes such settlement and reumbursement as being far the best interest
t of the Associatf~?. ~e foregoing right of indemnification shall be in additiAn
to and not exclusive of all other rights to which such direcoar ar offices may be
~ entitled.
ARTICLE VIII
BYLAWS
