RESOLUTI0~1 AND CERTIFICATE
Pursuant to ARTICLE VIII of the By~Laws of OCEANRISE CONDO
DlINIUM ASSOCIATION, INC., a meeting was held pursuant to notice and call,
with 100$ of the membership, represented by Developer' there having been

no units finally closed nor recorded as of the date hereof, the foilow~
ing Resolution was adopted:

BE IT RESOLVED that the Association does hereby
join, consent to, ratifies and confirms the First
Amendment to Declaration of Condominium of Ocean,
rise Condominium, and the officers are hereby author
ized and directed to execute joinder and consent to
the First Amendement to Declaration of Condominium,
which is attached hereto and made a part hereof.
