3. That there are no o+Ffsets or defenses of any character
whatsoever to~the said note and mortgage.
4. .That, except with respect to the modification of the
terms of payment of said note, all other covenants, terms and con- -
• ditions of the note and mortgage shall remain unaffected and u~laltered _
by this agreement, and the parties of the second part do hereby covenant
and agree to pay the unpaid principal of the note-and mortgage, as afore-

said, together with interest thereon at the rate and in the manner
hereinabove specified, and that they will perform and abide by all of
the terms, covenants and conditions of the said note and mortgage as
they are now drawnf except as hereby modified. ~
_ IN WITNESS WHEREOF, party of the first part has caused this
instrument to be-signed- in its name-'by its duly authorized officer ~
and its seal to be affixed hereto, and parties of the second part-
