Mortgaged Property or in any way materially impair or weaken
the security of this Mortgage. And in the case of the
refusal, neglect or inability of the Mortgagor to repair and
maintain the Mortgaged Property, the Mortgagee may, at its
option, make such repairs or cause the same to be made, and
advance monies in that behalf, and the amount of such payment
shall thereupon be secured by this Mortgage and become a
lien on the Mortgaged Property; and the Mortgagor will repay
the amount of such payment to Mortgagee, together with
interest thereon at the maximum rate permitted by law within ~
fifteen (15) days after demand for said payment is made by
.Mortgagee to Mortgagor.
Nothwithstandinq anything- contained herein to the
_ contrary, Mortgagor shall have the right, at its own ex-
pense, to make such alternations, additions or changes, in
the improvements on the Mortgaged Property,-both the in-
terior and exterior (including without limitation, altera- ~
tions of plumbing and electr-ical wiring), as it finds con-
venient for its purposes, except that (a) such alterations,
additions- or changes shall not structurally weaken the ~
mortgaged buildings, (b) any exterior alterations shall ~
conform with the architecture of the mortgaged buildings,
(c) such alterations, additions or changes shall not di- i
minish the value of the mortgaged buildings,-(d) all work
will be done in a good and workmanlike manner,-(e) all bills ~
in connection therewith shall be promptly paid when due, (f)
no mechanic's or_materialmen's lien claims shall be perfected
against the property or said improvements in connection with _
_ said alterations, additions or changes, or if perfected will
be promptly discharged by bonding or otherwise (or Mortgagor
shall deposit into an escrow account with Mortgagee col-
lateral of a type approved by Mortgagee and in an amount
which will be sufficient to satisfy such lien or liens), (g)
such construction shall comply with all applicable building
codes, rules, regulations and ordinances and any provisions
of all leases or restrictive covenants applicable to the
Premises affecting construction of such alterations, addi-
tions and changes, and (h) such alterations shall__not change
the use of the Mortgaged Property.as a hotel or motel and
that all alterations shall not be in violation of any License _ ~
or Franchise Agreement concerning the Mortgaged Property
issued by Holiday Inn, Inc.-
- 6. That Mortgagor will promptly pay and discharge any
and all license -fees or similar charges, together with any
penalties and interest thereon,_ which may be imposed by the
jurisdiction in which the Property is situated on space
occupied by Mortgagor beyond the lot lines and under or
abutting the public sidewalks in front of or adjoining the
Property; that Mortgagor will-promptly cure any violation of
law and comply with any order of said jurisdiction in re-
spect of the repair, replacement or condition of the side-
walks or curbs in front of or adjoining the Property; that,
if Mortgagor shall default in making such payment and ob-
taining discharge or in curing any such violation, Mortgagee
may make such payment, together with penalties and interest
thereon, and obtain such discharge, and cure any such vio-
lation, and the amount of such violation, and the amount of
such payment and the expenses incurred by Mortgagee in
obtaining such discharge and curing any such violation shall
thereupon be secured by this Mortgage and become a lien on
the Mortgaged Property; and the Mortgagor will repay the
amount of such payment and such expenses to Mortgagee,
together with interest thereon at the $1,685,000 Promissory
