ADDENDUM to Contract #H-083-11 ,-dated 6/26/79 ,between
- TROPICANA PRODUCTS, INC., and J0~ M. McCARTY - -
Tiihere this ADDENDUM-may be inconsistent with the printed portion of the
contract, the terms of the ADDENDUM shall prevail.

1. Notwithstanding the provisions of the contract,_Tropicana Products,
Inc.'s participation price paid to Seller will be as computed in
- the contract, but will not be less than: -
- A. eighty-five ($.85) cents per pound solids in the 1979-1980 season,
seventy ($.70) cents per pound solids in the 1980-1981 through _
1981-1982 seasons, and seventy-five ($:75) cents per pound
solids in the 1982-1983 through 1983-1984 seasons, upon delivery _
of that fruit to Tropicana's plant, less applicable tales and
any other authorized deductions, or _
B. eighty (80x) percent of Tropicana Products, Inc.'s Daily Cash
Market Price, if greater than Paragraph A above, less applicable
taxes and any other authorized deductions, upon delivery of that
{ - fruit to Tropicana's plant.
2. In consideration for this guaranteed price, Seller agrees that this - -
contract cannot be terminated during this five (5) year period, and
that the contract may continue after the 1983-1984 season in accord-
ance with the regular terms of the participation agreement.
3. It is also understQOd that the prices set forth above are guaranteed
prices-for the years indicated. The actual price will be determined -
by the formula provided in the contract if it exceeds the guaranteed
. prices provided for herein.
