ADDENDUM _ -
ADDENDUM to Contract #8-059-11 ~ dated b/12/79 between -
TROFICANA PRODUCTS, INC,, and DANCffit FITZGEBALD-SAI~IPLS, INC. `
where this ADDENDUM may be inconsistent with the printed portion o_f the
contract, the terms of the ADDENDUM shall prevail.
1. Notwithstanding the provisions of the contract, Tropicana Products,
Inc.'s participation price paid to Seller will be as computed in
the contract, but will not be less than:
A. eighty ($.80) cents per pound solids in the 1979-1980 season,
seventy ($.70) cents per pound solids in the 1980-1981 through
1981-1982 seasons, and seventy-five ($.75) cents per pound
solids in-the 1982-1983 through 1983-1984 seasons, upon delivery
of that fruit to Tropicana's plant, less. applicable taxes and
any other authorized deductions, or _
B. eighty (80'I) percent of Tropicana Products, Inc.'s Daily Cash
Market Price, if greater than Paragraph A above, less-applicable _
taxes and any other authorized .deductions, upon delivery of that
fruit to Tropicana's plant.
2. In consideration for this guaranteed price, Seller agrees that this -
contract cannot be terminated during this five (5) year period, and -
that the contract may continue after the 1983-1984 season in accord-
ance with the regular terms of the participation agreement. -
3. It is also understood that the prices set forth above are guaranteed -
prices for the years indicated. The actual price will be determined
by the .formula provided in the contract if it exceeds the guaranteed
prices provided for herein.
