SPECIAL WARRANTY DEED '
THIS SPECIAL WARRANTY DEED, made this aS~i

(the "Grantor"), a corporation organized and existing _
under the laws of the State of California, and Miracle
Fruit Company (the "Grantee"), a corporation organized and
existing under the laws of the State of California, the _ ~

California 92632; - -
WITNESSETH-THAT:

Grantor, for and in consideration of the sum of
Ten and No/100 Dollars ($10.00) and other good and valu-
able consideration paid-to Grantor by Grantee, the receipt
~ of which is acknowledged, has granted, bargained and sold,
- a eb rants, bargains and sells, to Grantee, its
~ successors and assigns, or eal-property, situated
_in St. Lucie County, Florida, described in Exhibit A
attached hereto and incorporated herein by this reference.
Subject to: Real property taxes for 1979
and subsequent years; zoning and-other regu-
latory laws and ordinances affecting the -
above-described real property; restrictions,
reservations, covenants, conditions, limita-
' tions-and easements and other matters
whether or not of record; and a purchase
money mortgage of even date herewith
securing payment of one promissory note in
the original principal sum of $9,135,798,
which purchase money mortgage is par-t of the
security far payment of said promissory
note; the remainder of the security for said
note consisting of purchase money mortgages
encumbering real property in other Counties
in Florida and deeds of trust conveying
properties in the States of P.rizona and
_ California, all given by Grantee_to Grantor.
