GARY E. NIEMANN is to be the managing partner and shall devote
stiffici.ent time and attention to the business to insure its success
and shall use his utmost endeavors to promote the interests of the
partnership.
VIII. BOOKS OF ACCOUNT
Books of account of the transactions of the partnership shall
be kept at the principal place of business, and shall be at all
times open to the inspection of any partner. Each partner shall
cause to be entered upon said books a just and true account of all
his dealings, receipts and expenditures for or .on account of the
partnership.
IX. ANNUAL ACCOUNTING AND INVEPITORY
In the month of September of each year, a full and complete inventory
of stock shall be taken, and a complete statement of the condition
of the partnership shall be made, and an accounting between the partners
shall be had, and the profits and losses of the preceding year shall
then be divided and paid or contributed. The fiscal year of the

.partnership shall. begin on the lst day of October of each vear.

?3one of the partners shall, without the consent of all of the
~ partners, become obligated as surety for any other person, or lend,
spen~', give, or make away with any part of the partnership property;
or draw or accept any bill, note, or other security in the name of

the partnership interest of such deceased partner for the price and on
