Sun First National Bank of Orlando, a Florida Corporation, by
William K. Martin, Corporate Trust Officer, hereby certifies that:
Sun First National Bank of Orlando, accepts
appointment as co-trustee pursuant to the provisions
of that certain Indenture, dated July 1, 1941, made
by Inter-County Telephone & Telegraph Co. to American
National Bank and Trust Company cif Chicago, as Trustee,
and Fontaine LaMaistre, as Co-Trustee, as supplemented
by twenty-two Supplemental Indentures.
Said appointment is accepted effective January 12, 1979.
In Witness Whereof said Corporation has caused this
certificate to be signed in its name by its Corporate
Trust Officer, William K. Martin this ~Z~ day of
