CERTIFICATE OF MERGER
~11HEREAS, Section 661.02, Florida Statutes, provides for the merger
of banks; and

~ WHF.RF,AS, I am satisfied that the terms of the merger agreement between
the banks described below comply +rith Section 661.04 (3), Florida Statutes, and
~ that the other regulatory conditions of the department have been. met,
NOW, THEREFORE, I, GERALD A. LEWTS, as Comptroller of Florida and
~ head of the Department of Banking and Finance, do hereby issue this Certificate
~ authorizing the consummation of merger of the following constituent banks:

Palm Beaches to continue the transaction of a general banking and trust business
with main offices at 2001 Broadway, Riviera Beach, Palm Beach County, Florida, with
branch offices as authorized by law. On the effective date of merger, September 29, .
1979, the charters of the constituent banks, other than the resulting bank, .shall be
