2. Assignee hereby accepts the foregoing sale,
assignment and transfer and assumes and agrees to pay and
perform all liabilities and obligations un~er the Lease
arising on and after August 1, 1979, or~ot'~erwise attributable
to the period commencing on said date and continuing thereafter.
Assignee shall indemnify and save Assignor :armless from and
against any and all claims, demands, actions, causes of action,
suits, proceedings, damages, liabilities a:~d costs and expenses
of every nature whatsoever and relating tc t%?e Lease or the
premises demised thereunder.
3. All taxes and other goverr.-~ertal charges and
fees, including, without limitation, any and all transfer
taxes, stamp taxes, sales taxes and recorc_:~; fees, relating
to the transaction avidenced by this agrea:^znt shall be paid
by Assignee.
4. This agreement shall be b~nciag upon the
successors and assigns of the parties here=o. ?signor and
Assignee shall execute and deliver such f~r~~-`r a~?d additional
instrunents, agreements and other docume:~== as -~a~• be necessary
to evidence or carry out the provisions o= .^is agreement.
