WHEREAS, the location of the "Minute Maid Canal" is
particularly set forth in that certain Agreement for Easement
recorded in Official Record Book 18 at page 241 of the Public
Records of St. Lucie County, Florida; and
WHEREAS, the said JOHN MERK has assigned all of his '
right, title and interest as Lessee under the Lease to

Assignee; a corporation of which the said JOHN MERK is
President and a principal stockholder; and
WHEREAS, Assignors have this date by Warranty Deed con-
veyed the above-described land to Assignee;
NOW, THEREFORE, in consideration of the premises, Assig-
nors hereby assign to Assignee 12,000 gallons per minute
pumping capacity into the canal commonly referred to as the
"Minute Maid Canal" from the total pumping capacity into said
canal granted to Assignors by the South Florida Water Manage-
ment District, formerly the Central and Southern Flood Con- `
trol District. Notwithstanding the foregoing, this Assign-
ment -is subject to the limitations, if any, of applicable law
and applicable rules and regulations of governmental agencies
and water management districts.

j Assignors hereby agree to execute all documents neces-
sary or required by the South Florida Water Management

District to effectuate such assignment to the extent allowed
~ by applicable law and applicable rules and regulations of

governmental agencies and water management districts.
