constitute and appoint said Mortgagee, or any officer
thereof or the successors or assigns of the said Mortgagee,
as his, her or their true and lawful attorney-in-fact, to
collect any and all rents for said above-described premises,
expressly authorizing the Mortgagee or its successors
or assigns to receipt tenants therefor, and do by their
presents ratify and confirm any and all acts of said
attorney-in=fact in relation to the foregoing power.
12. It is mutually covenanted and agreed by and
between the Mortgagors and the Mortgagee that this mortgage
shall be construed according to the laws of the State of
Florida.

13. By acceptance of this mortgage lien Mortgagee
agrees that the execution of this mortgage on behalf of
Joseph I?icMahon, as Receiver, is being given for the sole
purpose of creating and perfecting a valid second mortgage ~
lien in favor of Mortgagee and his execution hereof does
not~in any manner create or otherwise impose any kind of
pledge, guarantee or other personal obligation on his behalf.
IN WITNESS WHEREOF, the said mortgagors have
hereunto signed and sealed these presents the day and year
