1. Lessee may, after thirty (30) days c~rritten
notice to Lessor, assign to a subsidiary, parent or affiliated
corporation the balance o~ this Lease; provided, ho~.~ever, such
assignr.:cnt will not relieve Le~sec of ~m~ rr.::~oZSibility or
obligation k•hich it ha:; <<;::sumed under this Leese .
2. Lessee may sub-lease any portion o~ the opera-
tion of the Motel busi;:c~s:, opLratcd on the p. e:, ises to
another person, firm or corporation; provided, however, .such
a sub-lease shall riot relieve Lessee of any of its obliga-
tions or responsibilities under this Lease; a:d, provided,
further, that the rent~il reserved herein shell continue to
be paid to Lessor based on the percentage of gross revenue
received from said operations as provided in CLALiS;, III
above, whether sub-leased or not..
