THIS TWENTY-THI$D 3IIPP~,EMENTAL INDENTIIBE, dated
as of \ovember 15, 1979 made and entered into by and between UNITED
TSLSPHONE COatI'ANY OF FY.oRIDA, a corporation organized and existing
under the Laws of the State of Florida and having its principal place
of business iII the City of Fort Myers, County of Lee, State of Florida,
hereinafter colmonly referred to as the COMPANY; and AMERICAN
NATIONAL BANK A\ll TBCST CO~1PANY OF CHICAGO, a IIat10IIa1 banking
association, organized and existing under the Laws of the United States
of America having its principal place of business in the City of Chicago, _
County of Cook, State of Illinois, as Trustee, hereinafter commonly
referred to as the TRUSTEE, and Svx Fu:sT I~TsTIOxAL BANH of OBLANDO,
a Ilatiollal batlking association, organized and existing under the La~v:~
of the United States of t11llerica having its principal place o~ business
in the City of Orlando, County of Orange, State of Florida, as Successor
Co-Trustee, hereinafter commonly referred to as the Co-TRUSTSB, said
TRUSTEE and said Co-TRUSTSB being hereinafter sometimes collectively
referred to as the TRUSTB,E$.

WHEREAS, INTEB-COUNTY TELSPHO~iE ~ TELEGRAPH COMPANY, a COr-
potation organized and existing under the Laws of the State of Florida,
hereinafter souetimes referred to as INTBR-CoUNTY, has heretofore
executed and delivered to the TRUSTEE and FONTAIATS LsDiArsTRB, as
~ original Co-Trustee, its Indenture dated as of July 1, 1941, the'~Origi-
nal Indenture to secure the First Mortgage Bonds of INTERrCovNTY,
issuable in series ;and
WHEREAS, INTER-COUNTY thereafter executed and delivered certain
Supplemental Indentures, First through Fourteenth, inclasive, for the
various purposes of creating additional series of bonds, conveying and
confirming unto the Trustee certailt additional property and amending
the Original Indenture in certain respects; and
WHEREAS, all of said de-cribed Original Indenture and Supple-
mental Indentures were duly executed and issued by INTER-COUNTY
TELBPHONS & TELEGRAPH COMPANY ;and
