nal Indenture) the tolls, rents, revenues, issues, earnings, income, prod-
nets and profits thereof, and all the estate, right, title and interest and
claim whatsoever, at law as well as in equity, which the Compang now
has or may hereafter acquire in and to the aforesaid property and
franchises and every part and parcel thereof.

and subject to the agreements, covenants and conditions set forth and
expressed in the Indenture as supplemented and modified by this
Twenty-Third Supplemental Indenture, it being agreed as follows, to

Sgcriax 1. There shall be and is hereby created a series of bonds _
entitled "First Mortgage Bonds, Series S" (hereinafter sometimes
referred to as "Series S bonds" or "bonds of Series S"). Series S
bonds shall be fully registered bands without coupons of the denomina-
tion of $1,000 and multiples thereof. The bonds of Series S issued
pursuant to Section 7 of this Article I shall be dated November 15,1979. -
Other bonds of Series S shall be dated as of the date of their authenti-
cation. All Series S bonds shall bear interest from the fifteenth day of
_~iay or November, as the case may be, nest preceding the date of such
bond to whieh interest has been paid, unless the date of such bond is the
date to which interest has been paid, in which case from the date of
such bond, or unless the date of such bond is prior to the first payment
of interest, in which case from November 15,1979. Notwithstanding the
- foregoing, when there is no existing default in the payment of interest
on the Series S bonds, all Series S bonds authenticated by the Trustee
after the close of business on any record- date (hereby fixed as 3iay 1
or ~ ovember 1, as the case may be) nett prior to any interest payment "
date (~Iay 15 or November 15, as the case may be) and prior to such
interest payment date shall be dated as of and shall bear interest from
