is constituted.

In the city of Panama, Capital of the Republic and Head of the
Notarial Circuit of same name, on the fifteenth (15) day of the
month of October of One thousand nine hundred and seventy nine
(1979), before me, GUSTAVO ESCOBAR PEREIRA, Notary Public Fourth
of the Circuit of Panama, with civil identity card number 8-80-103, j

personally appeared JOSE DEL CARMEN ESPINO, male, of legal age,
married, businessman, panamanian, of this city, with civil identity

card number 7-80-629, and one MARIO FONSECA LOPEZ, male, of legal
.age, married, lawyer, panamanian, of this city, with civil identity
card number 8-376-176, and asked me to constitute an anonymous so-
ciety in accordance to Law 32 of 1927, and based on the following

~ Social Pact:--------FIRST: The society will be named YAMF.L INTER-
NATIONAL, S. A., and under that name will execute all its businesses ands
commercial transactions.-----SECOND: The following are the objectives of
the society: a) to dedicate itself to the business of trusts or
commisions, buying, selling, financing, investments and commercial
activities in all fields, be them commercial or maritime; b) Import
export, representation of foreing or national enterprises, admi-
nistration of societies and commerce; c) Administration of real
estate, buying, selling of immovable goods, renting of them,

hying and selling of horizontal properties; d) to participate in
other societies, be them national or foreign, administration of
businesses to issue shares, bonds, notes, promissory notes and
other obligations for the society, for amounts in cash for servi-
ces rendered, goods of any kind or for reason of buying, loans,
mortgages of goods pertaining to the society; buy, draw, issue,
