SUBORDINATION AGREEMENT
KNOW ALL MEN BY THESE PRESENTS, That GERALD S. JAMES,
the owner and holder of that certain agreement providing aright
of first refusal to purchase the real property therein described
given by Philip A. Hoeffner and Marie Hoeffner, his wife, dated
May 24, 1979, recorded in O. R. Book 309 at page 1191 of the public
records of St. Lucie County, Florida, at the request of said Philip A.
Hoeffner and Marie Hoeffner, his wife, and for and in consideration
of $1.00 to him in hand paid, does hereby subordinate the operation
and effect of said agreement to the lien and operation of that

certain mortgage from Philip A. Hoeffner and Marie Hoeffner, his
wife, to Sun Bank of St. Lucie County, dated November 23, 1979,
recorded in O. R. Book 320 at page 2620 of the public records of
j
St. Lucie County, Florida, securing the sum of $150,000.00, '
and encumbering the real property therein described, in the same
manner and effect as if said mortgage had been dated and filed for
public record prior to and in advance of the agreement held by
Gerald S. James which is hereby subordinated.
IN WITNESS WHEREOF, Z have hereunto affixed my hand and
