This Certificate and Agreement of Limited Partne»6lii~~
is entered into as of this 12th day of December, by and by
and between LAKE W. COLEMAN and WARREN E. CULBERTSON, as
General Partners and the persons named and designated as
limited partners on the signature page, or pages, hereof as ~
Limited Partners.
- W I T N E S SETH
WHEREAS, the Partnership desires to purchase, own,
manage, operate and hold for investment an orange grove in
St. Lucie County, Florida.

~ NOW, THEREFORE, the General Partners and Limited Partners,
after being duly sworn, hereby covenant and agree as follows
i - ARTICLE I
Formation

The General Partners and the Limited Partners hereby :
form a Limited Partnership pursuant to the terms of the Act
` and to the terms and conditions contained in this Agreement.
This Agreement is the Certificate of Limited Partnership
which shall be duly recorded pursuant to the provisions of
the Act. i

Names
The Partnership business shall be conducted under the
name of BLUE THREE GROVES LIMITED, a Florida limited partner-
ship, or such other name as the Managing General Partner ~
shall hereafter designate by a written notice to all Partners. }
