12.7 Return of Capital Contribution: Each 'Limited
Partner shall look solely to the assets of the Partnership
for~the return of his Capital Contribution, and each Limited
Partner shall have no recourse against the General Partners
or any other Limited Partner.
ARTICLE XIII
Reports and Meetings
13.1 Books and Records of the Partnership: Books of
account and records shall be kept on a cash or accrual basis
(at the Managing General Partner's discretion) by the
Managing General Partner in which shall be entered fully and
~ accurately all transactions and other matters relative to
the Partnership's business as are usually entered in books
of account and records maintained by persons engaged in
business of a like character. Limited Partners shall .be
entitled to inspect and copy the books and records of the
_ Partnership at all times, during regular business hours, and
at the location where such books and records are kept by the
Partnership.
~ 13.2 List of Limited Partners: Limited Partners shall
be entitled to have mailed to them a list of the names of
` all Limited Partners upon payment to the Partnership of such
reasonable fee as the Managing General Partner may establish
for the preparation thereof. Such list shall also contain
the respective addresses and the Capital Interest held by
each Limited Partner. No Limited Partner shall have any -
right to sell or disclose such list to any other person, or
to use such list for commercial purposes unrelated to the
k operation of the Partnership.
13.3 Financial Reports: An annual report of the Part-
nership containing financial statements shall be furnished
to the Partners within ninety (90) days following the close
of each Partnership Accounting Year.
13.4 Meetings: Meetings of the Partnership, for any
purpose, may be called by the Managing General Partner, and
a meeting shall be called by the Managing General Partner
upon receipt of a request in writing signed by Limited
Partners holding more than ten percent (10~) of the Units of
Partnership Interest then outstanding. Such requests shall
r state the purpose of the proposed meeting and the business
to be trafisacted. Such meeting shall be held at the principal
