HomeMy WebLinkAbout0555 t 15.4 Waiver of Action for Partition: Each of the Partners ir-revocably waives, urinq a term of the Partner- ship and during the period of its liquidation following any. dissolution, any right that such Partner may have to maintain any action for partition with respect to any of the assets of the Partnership. 15.5 Counterparts: This Agreement may be executed in several counterparts, and all counterparts so executed shall constitute one agreement, binding on all of the parties hereto, notwithstanding that all the parties are not signa- tory to the original or the same counterpart. 15.6 Parties In Interest: Each and every covenant, term, provision and agreement herein contained shall be binding upon and inure to the benefit of the successors and assigns of the respective parties hereto. s ~ 15.7 Integrated A reement: This Agreement constitutes ' the entire understan ing and agreement among the parties hereto with respect to the subject matter hereof, and there are no agreements, understandings, restrictions, representa- tions or warranties among the parties other than those set ~ forth herein or herein provided for. E 15.8 Arbitration: Any dispute or controversy arising out of or in relation to this Agreement, but not relating to any other agreement entered into by or made for the benefit of the Partnership, shall be determined and settled by arbitration in the City of Orlando, Florida, in_accordance with the Commercial Rules of the American Arbitration Asso- ciation then in effect, and judgment upon the award rendered by the arbitrator(s) may be entered in any court of competent jurisdiction. The expenses of the arbitration shall be borne equally by .the parties to~the arbitration, provided that each party shall pay for and bear the cost of its own experts, evidence and legal counsel. Whenever any action is required to be taken under this Agreement within a specified period of time and the taking of such action is materially affected by a matter submitted to arbitration, such period shall automatically _be extended by the number of days plus ten (10) that are taken for the determination of that matter by the arbitrator(s). 15.9 Ex enses of Offerin and Transfer of Title: The } Partnership sha pay t e expenses o the Private O eying and transfer df title of the Partnership Property. -31- a~~K 3z2 PAGE 555
