Notwithstanding the foregoing Provisions of this
Article XVI, no amendment, without the prior written approval
of all Partners, may (a) enlarge the obligations of any
Partner under this Agreement, (b) enlarge the liablity of
the General Partners tro the Limited partners, (c) amend this
Article XVI, (d) amend any provisions distribution
of Net Cash Flow or Net Proceeds, or (e) alter the Partnership
in such manner as will result in the Partnership no longer
being classified ass a partnership for Federal ir~ooa~e tax
purposes.

by a Separate Certification and Signature Page, duly executed
by such Limited Partner and annexed to the original copy of
the Agreem~.nt, which original oapy is to be, or has been,
filed with the Secretary of State of the State of Florida.
