ASSIGNMENT -
For and in consideration of Ten Dollars and other good and ,
valuable considerations, receipt of which is hereby
acknowledged, SUNWAY FINANCIAL SERVICES, INC., a Texas
corporation ("SUNWAY") hereby assigns, transfers, and sets over ~
unto HEROLA INC., a Florida corporation ("HEROLA") all of
SUNWAY'S right, title and interest in and to an undivided
twenty-five percent (25$) of all leases described on Exhibit
"A" attached hereto and made a part hereof by reference,
together with a similar interest in all deposits (including
without limitation security deposits), advance rentals and
other payments made or to be made under said leases, together
with the right to receive the same. ~

By acceptance hereof HEROLA assumes and agrees to perform
all obligations of Lessor which are set forth in said leases.
SUNWAY does hereby warrant that it has the right to sell,
transfer and set over the said interest in the leases described
on Exhibit "A" and that SUNWAY has no knowledge as to any
defense, offset, claim or counterclaim by the lessee of any of
said leases or any person or entity claiming by or through any '
lessee of said leases, other than such defenses as may exist
due to construction delays. SUNWAY further represents that
there is no litigation now pending or threatened against
SUNWAY'S interest in and to any of said leases.
IN WITNESS WHEREOF, SUN~iiAY has caused these presents to be
executed in its name and its corporate seal to be hereunto
affixed by is pro er officers, thereunto duly authorized this z
