ASSIGNMENT
For and in consideration of Ten Dollars and other good and
valuable consideration, receipt of which is hereby
acknowledged, SUNWAY FINANCIAL SERVICES, INC., a Texas _
corporation ("SUNWAY") hereby assigns, transfers, and sets over.
unto KEENLIN INVESTMENTS LIMITED, an Ontario corporation
("KEENLIN"), SUNWAY'S right, title and interest in and to an
undivided-twenty-five percent (25$) interest in the following
which relate to the real property described on Exhibit "A"
attached hereto and made a part hereof and the improvements
located or to be located thereon (said real property and
improvements being hereinafter collectively referred to as the
"Premises"):
~(a) all consents, authorizations, variances, waivers,
licenses, permits and approvals, if any, from any governmental
authority in respect of the Premises; and!

(b) all trademarks and other marks and trade or business
names, if any, relating to the ownership, use, operation and
management of the Premises; and
(c) all intangible personal property, if any, owned or
held by SUNWAY in connection with the Premises and the business
conducted therein; and
(d) all architectural, mechanical, engineering and other
plans and specifications including "as-built" plans and
specifications, and surveys prepared in connection with the
construction of the building(s) comprising a portion of the
Premises as well as those plans, specifications and surveys
prepared in connection with the construction of interior
improvements to such buildings; and
(e) all percolation and other soil and topographical and
traffic studies and tests relating to the Premises performed by
or at the request of SUNWAY, Crown Life Insurance Company, or
The Royal Bank of Canada; and
(f) all insurance, tax and other escrow deposits relating
to the Premises held by The Royal Bank of Canada, or Crown Life
Insurance Company; and
(g) all right, title and interest of SUNWAY, if any, in
and to all transferable warranties, guaranties, contract
6 rights, and miscellaneous rights, with respect to the buildings
and existing and to be built improvements relating to the
` Premises; and

~ (h) all easements, rights of way, privileges, licenses,
appurtenances and other rights and benefits belonging or in any
~ way related to the real property described on Exhibit "A"
~ hereto; and
(i) all rights, title and interest of SUNWAY, if any, in
and to the names "Center West" and "Center West Shopping
Center" .
~ IN WITNESS WHEREOF, SUNWAY has caused these presents to be
4 executed in its name and its corporate seal to be hereunto
affixed by 'ts proper officers thereunto duly authorized, the
